ICE lost the Tolkien license on September 22, 1999 and then filed bankruptcy, which was imminent. The business side of ICE, MERP, MECCG, their previous financial troubles, and what happened after bankruptcy is explained in a well written and detailed article by Shannon Appelcline on rpg.net.

By the way, I like this line from ICE President Pete Fenlon made in 1993.
Unfortunately, ICE's presentation of the MERP rules left much to be desired. We often created a sense of confusion and complexity, even where the guidelines were conceptually simple.
